Prismr Terms of Service

These Terms of Service ("Terms") govern your use of the Prismr application and related services ("Prismr" or the "Service") provided by Targeted Coaching International, Ltd. ("TCI," "we," "us," or "our").

By creating an account, downloading, accessing, or using Prismr, you agree to these Terms. If you do not agree, do not use Prismr.

1. Service Description

Prismr is a productivity application that helps you work with AI models, manage project files, store memories and context, and work from a folder on your device or in your cloud storage provider.

  • Storage and collaboration. Prismr can work with folders stored on your local device or in a cloud storage provider you choose (for example iCloud Drive, Dropbox, Google Drive, or OneDrive). Collaboration happens when multiple Prismr users work in the same shared cloud folder, using that cloud provider's sharing features. We are also developing multi-user conversation features that will enable more direct collaboration between Prismr users within the app.
  • What we store. Prismr does not store your project files, documents, or chat transcripts on Prismr servers. Your content is stored on your device and/or in your chosen cloud storage account.
  • AI routing. AI requests are currently sent from your device to the AI provider you select. If you use OpenRouter, OpenRouter may route your request to an underlying model provider. In the future, Prismr may route certain requests through its own proxy infrastructure. We will update our Privacy Policy before any such change takes effect.

We may change how the Service works over time, including adding new collaboration and AI features. If a change affects how we handle your data, we will update our Privacy Policy.

2. Eligibility

You must be at least 16 years old to use Prismr. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

If you are under 18 (or the age of majority where you live), you represent that you have permission from a parent or legal guardian to use Prismr.

3. Your Account

3.1 Registration and Sign-In

To use Prismr, you must create an account using a valid email address. Sign-in is done via a one-time passcode (OTP) sent to your email.

You agree to provide accurate information and keep your account information up to date.

3.2 One Account Per Person

Your Prismr account is personal to you. You may not share your account with anyone else or transfer it to another person or entity.

3.3 Devices

You may install and use Prismr on up to 4 devices for your own use. You agree not to use this to enable multiple people to share one account. We may enforce device limits through device registration and other technical controls, now or in the future.

3.4 Account Security

You are responsible for all activity under your account. Contact us at support@prismr.ai if you believe your account has been compromised.

4. License to Use Prismr

Subject to your compliance with these Terms (and payment of any applicable fees), we grant you a limited, non-exclusive, non-transferable, revocable license to install and use Prismr for your personal or internal business purposes.

You may not:

  • Copy, modify, distribute, sell, lease, or sublicense Prismr or any part of it
  • Reverse engineer, decompile, or disassemble Prismr, except where prohibited by law
  • Remove or obscure proprietary notices
  • Circumvent or attempt to circumvent security measures, usage limits, or access controls
  • Use Prismr to build or offer a competing product or service
  • Share, resell, or redistribute any Prismr-provisioned credentials or keys
  • Access the Service through automated means (bots, scrapers, or similar) except through our intended interfaces

5. AI Services

5.1 Bring Your Own Key (BYOK)

Prismr supports connecting your own API keys from third-party AI providers (for example Anthropic, OpenAI, Google, OpenRouter, and others).

When you use BYOK:

  • You are responsible for costs. You are solely responsible for all costs, charges, and fees incurred through your API keys. Prismr has no visibility into and accepts no liability for charges from your AI providers.
  • You are responsible for compliance. You must comply with each provider's terms and policies.
  • You are responsible for key security. If a key is compromised, you must revoke it directly with the provider. We cannot revoke, reset, or recover BYOK keys for you.
  • Provider issues are outside our control. We are not responsible for rate limits, outages, suspensions, access revocation, or other actions taken by an AI provider.

5.2 Prismr-Provided AI

Some plans may include AI features that use Prismr-managed access (for example a provisioned API key).

  • Metering and limits. AI usage may be metered and subject to plan limits or quotas.
  • Cutoff when capped. If you reach an applicable usage cap, AI features may stop working until the beginning of your next billing period, unless you upgrade your plan or purchase additional capacity. Unused usage does not roll over between billing periods.
  • Key management. Prismr-provisioned keys are managed by us. We may rotate or revoke provisioned keys at any time (for example, if abuse is detected), which may temporarily interrupt AI features.
  • Changes. We may change supported models, limits, and how usage is measured over time with reasonable notice.

5.3 AI Output Disclaimer

AI-generated content produced through Prismr, whether through BYOK or Prismr-provided AI, is generated by third-party large language models. You acknowledge and agree that:

  • AI outputs may be inaccurate, incomplete, misleading, or inappropriate. Prismr does not guarantee the quality, accuracy, reliability, or suitability of any AI-generated content.
  • You are solely responsible for reviewing, verifying, and determining the appropriateness of all AI-generated content before using it for any purpose.
  • Do not rely on AI output for professional, legal, medical, financial, or safety-critical decisions without appropriate human review.
  • Prismr does not endorse, adopt, or take responsibility for any AI-generated content.
  • Third-party AI providers process your prompts under their own terms and policies. Prismr is not responsible for their data handling practices.

5.4 AI Provider Terms

Your use of AI providers through Prismr is also subject to those providers' terms and policies. You are responsible for reviewing and complying with them:

6. Cloud Storage and Local Files

Prismr can work with local files and with cloud storage providers (for example iCloud Drive, Dropbox, Google Drive, and OneDrive).

When you connect or use a cloud storage provider:

  • You authorize Prismr to read and write files in the locations you choose, so the app can create, update, and organize your project files.
  • Your cloud provider's terms and privacy policy govern how that provider handles your data.
  • We are not responsible for outages, access restrictions, data loss, corruption, unauthorized access, or changes to a cloud provider's APIs.
  • You are responsible for maintaining backups of your data. Prismr does not provide server-side backups of your project files.

7. Your Content

7.1 Ownership

You retain full ownership of all content you create, upload, store, or generate using Prismr ("Your Content"). This includes documents, project files, memories, comments, prompts, and AI-generated outputs.

TCI does not claim any ownership rights over Your Content.

7.2 Permission to Operate the Service

You grant us a limited license to access, process, and display Your Content only as needed to provide the Service to you (for example opening files, writing files you save, rendering chat history, and displaying content inside the app). This license is non-exclusive, worldwide, royalty-free, and ends when you delete Your Content or your account, except where we must retain certain records for legal or security reasons.

We do not use Your Content for training AI models, for advertising, or for any purpose other than providing the Service to you.

7.3 Responsibility

You are responsible for Your Content and for ensuring that it does not violate any applicable laws, these Terms, or any third-party rights. Prismr does not monitor or review the content you create or store using the Service.

8. Intellectual Property

8.1 Prismr's Intellectual Property

The Service, including the App, Website, and all associated software, designs, logos, documentation, and other materials, are owned by Targeted Coaching International, Ltd. and are protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our intellectual property except for the limited license described in Section 4.

8.2 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us a non-exclusive, worldwide, royalty-free, irrevocable license to use, modify, and incorporate that feedback into our Service without any obligation to you.

9. Acceptable Use

You agree not to use Prismr to:

  • Violate any applicable law or regulation
  • Infringe intellectual property or other third-party rights
  • Generate, store, or distribute content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
  • Generate content that exploits, harms, or attempts to harm minors
  • Harass, abuse, threaten, or harm others
  • Distribute malware, viruses, or harmful code
  • Attempt unauthorized access to systems, networks, or other user accounts
  • Interfere with or disrupt the Service or its infrastructure
  • Conduct or facilitate fraud, phishing, spam, or social engineering
  • Use the Service to develop weapons, conduct surveillance, or facilitate violence
  • Circumvent safety controls, usage policies, or terms of AI providers
  • Scrape, crawl, or use automated means to extract data from the Service except through intended interfaces
  • Violate the terms of any third-party provider you use through Prismr
  • Resell, redistribute, or commercially exploit the Service or access to the Service without our written permission

We may suspend or terminate your account if we reasonably believe you have violated this section, with or without notice depending on the severity of the violation.

10. Subscriptions, Payments, Trials, and Refunds

Prismr may be offered through paid subscriptions, usage-based plans, free trials, or other offers. Plan details and current pricing are provided at the point of purchase and at prismr.ai/pricing.

  • Auto-renewal. If your subscription is set to renew, it will renew automatically unless you cancel before the renewal date. You can manage or cancel your subscription through your account settings or the store where you purchased.
  • Price changes. We may change subscription pricing with reasonable advance notice. Price changes take effect at the start of your next billing period following the notice.
  • Where you buy matters.
    • If you purchase through our website, payment is processed by a third-party processor (currently Creem.io), and their terms apply.
    • If you purchase through the Apple App Store or Google Play Store, your purchase is processed by Apple or Google, and their respective terms and refund policies apply.
  • Refunds. Refund eligibility depends on where you purchased Prismr and on applicable law. Website purchases are generally non-refundable except where required by law or explicitly stated at purchase. App Store and Play Store purchases are subject to Apple and Google refund policies respectively.
  • Free tiers and trials. We may offer free tiers or trial periods at our discretion. We reserve the right to modify or discontinue free access at any time. If a trial converts to a paid subscription, you will be notified before any charge is made.

11. Third-Party Services

Prismr integrates with third-party services, including AI providers, cloud storage providers, payment processors, and hosting infrastructure. These services are governed by their own terms and privacy policies.

We are not responsible for the availability, accuracy, performance, security, content, or practices of third-party services. Your use of third-party services through Prismr is at your own risk.

If a third-party service changes its terms, pricing, availability, or API in a way that affects Prismr, we will make reasonable efforts to adapt but cannot guarantee uninterrupted service.

12. Service Availability and Changes

Prismr is provided on an "as available" basis. We do not guarantee uninterrupted or error-free operation.

Because Prismr relies on third-party AI providers and cloud storage services, availability depends in part on those services. Outages or issues with third-party providers are outside our control.

We may modify, suspend, or discontinue parts of the Service. Where practical, we will provide notice of material changes.

13. Suspension and Termination

13.1 By You

You may stop using Prismr at any time. If you have a subscription, you can cancel renewal through your account settings or the store where you purchased. Cancellation stops future charges but does not entitle you to a refund for the current billing period, except as required by applicable law.

To close your account entirely, contact us at support@prismr.ai.

13.2 By Us

We may suspend or terminate your access to the Service, in whole or in part, if:

  • You violate these Terms, including the Acceptable Use provisions
  • You fail to pay applicable fees
  • We are required to do so by law
  • Your use of the Service poses a security risk or could harm other users
  • Your account appears to be shared with or used by multiple people in violation of Section 3.2

Where possible, we will provide notice before suspension or termination. In cases of serious or repeated violations, we may act immediately without notice.

13.3 Effect of Termination

Upon termination:

  • Your license to use Prismr is revoked.
  • Your access to Prismr-provided AI services will cease.
  • Data stored locally on your device remains under your control.
  • Data stored in your connected cloud storage accounts remains in those accounts. We do not host or delete your project files because we do not store them on Prismr servers.
  • Server-side account data will be handled in accordance with our Privacy Policy.

14. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, PRISMR DOES NOT WARRANT THAT:

  • THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  • AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, OR RELIABLE
  • THE SERVICE WILL MEET YOUR REQUIREMENTS
  • ANY DEFECTS WILL BE CORRECTED
  • YOUR DATA WILL NOT BE LOST OR CORRUPTED

YOU USE THE SERVICE AT YOUR OWN RISK.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS RIGHTS YOU MAY HAVE UNDER APPLICABLE CONSUMER PROTECTION LAWS THAT CANNOT BE WAIVED OR LIMITED BY CONTRACT.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TCI, ITS DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

THIS APPLIES WHETHER THE CLAIM IS BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT TCI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT PERMITTED BY LAW, TCI'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO TCI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

16. Indemnification

You agree to indemnify, defend, and hold harmless TCI and its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Service
  • Your Content
  • Your violation of these Terms
  • Your violation of any third-party rights or third-party provider terms
  • Your use of AI-generated content
  • Any charges or liabilities incurred through your use of BYOK API keys

17. Governing Law and Disputes

17.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Cayman Islands, without regard to conflict of law principles.

17.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good faith negotiation. If the dispute cannot be resolved within 30 days of written notice, either party may submit the matter to the exclusive jurisdiction of the courts of the Cayman Islands.

17.3 Class Action Waiver

To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted on an individual basis only. You waive the right to participate in any class action, consolidated action, or representative proceeding against TCI. No dispute may be joined with any other proceeding, and there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

18. Apple App Store Additional Terms

If you download or use Prismr through the Apple App Store, the following additional terms apply:

  • Parties. These Terms are between you and TCI, not with Apple. Apple is not responsible for the Service or its content.
  • Maintenance and support. Apple has no obligation to provide any maintenance or support services for the Service.
  • Warranty. If the Service fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) to you. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the Service.
  • Claims. Apple is not responsible for addressing any claims by you or a third party relating to the Service or your use of the Service, including product liability claims, any claim that the Service fails to conform to legal or regulatory requirements, and claims arising under consumer protection or similar legislation.
  • Intellectual property. In the event of any third-party claim that the Service infringes that third party's intellectual property rights, TCI, not Apple, shall be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
  • Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right to enforce these Terms against you as a third-party beneficiary.

19. Google Play Additional Terms

If you download or use Prismr through Google Play, the following additional terms apply:

  • These Terms are between you and TCI, not with Google. Google is not responsible for the Service or its content.
  • Your use of the Service is also subject to the Google Play Terms of Service.

20. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page and notify you through the App or by email.

Your continued use of the Service after updated Terms take effect constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Service.

21. General Provisions

  • Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and TCI regarding Prismr and supersede all prior agreements.
  • Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
  • Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms without restriction.
  • No Agency. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and TCI.
  • Notices. We may provide notices to you via email (to the address associated with your account) or through the App. Notices to us should be sent to legal@prismr.ai.
  • Survival. The following sections survive termination of these Terms: Section 5 (AI Services), Section 7 (Your Content), Section 8 (Intellectual Property), Section 11 (Third-Party Services), Section 14 (Disclaimer of Warranties), Section 15 (Limitation of Liability), Section 16 (Indemnification), and Section 17 (Governing Law and Disputes).
